PLEASE READ THESE TERMS CAREFULLY. These Terms of Use (the “Agreement”) govern your access to and use of ActiveRain.com and any related services (collectively, the “Site”). By accessing or using the Site in any manner, you agree to be bound by this Agreement. If you do not agree, do not use the Site.
1. Eligibility
By using the Site, you represent and warrant that: (a) you are at least 18 years of age or have reached the age of majority in your jurisdiction; (b) you have the authority to enter into this Agreement; (c) your use of the Site does not violate any applicable law or regulation; and (d) you are a currently licensed or aspiring real estate agent or broker. The Site is intended solely for real estate professionals and those pursuing a career in real estate. Use of the Site by individuals who do not meet this criterion is unauthorized and prohibited.
2. Scope of Agreement
This Agreement governs your use of the Site and constitutes the entire agreement between you and ActiveRain regarding your use of the Site. We may update this Agreement at any time. Your continued use of the Site after any changes constitutes your acceptance of the updated Agreement.
3. Use of the Site
You agree not to:
- Use any automated tool, bot, spider, scraper, or data mining software to access the Site or its content
- Copy, reproduce, republish, upload, post, transmit, resell, or distribute any material from the Site without our express written consent
- Circumvent or attempt to circumvent any technical limitations or security features of the Site
- Use the Site to violate any applicable law, regulation, or third-party rights
- Interfere with or disrupt the normal operation of the Site or its infrastructure
- Post content that is threatening, defamatory, obscene, harassing, or otherwise objectionable
- Submit false, inaccurate, or misleading information
4. User-Submitted Content
If you submit any content to the Site (including reviews, comments, or other materials), you grant ActiveRain a perpetual, irrevocable, nonexclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, and publish such content in any media. You represent that you own or have the necessary rights to submit such content and that it does not violate any third-party rights or applicable law.
5. Reviews and Public Content
Reviews and other user-submitted content reflect the opinions of individual users and do not constitute endorsements by ActiveRain. We do not verify the accuracy of user reviews. We reserve the right, but not the obligation, to remove any content that violates this Agreement or our community standards, including content that:
- Contains threats, harassment, profanity, hate speech, or bigotry
- Creates a conflict of interest (e.g., reviewing your own business or employer)
- Is promotional, irrelevant, or not based on firsthand experience
- Contains another person’s private or personally identifiable information
- Is defamatory or known to be false
6. Intellectual Property
All content on the Site — including text, graphics, logos, images, software, and other materials — is the property of ActiveRain or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. Nothing in this Agreement transfers any ownership rights to you. You may not use our trademarks, logos, or other proprietary content without our prior written permission.
7. Third-Party Content and Links
The Site may contain links to or information about third-party websites, products, or services. ActiveRain does not endorse, control, or assume responsibility for any third-party content, products, or services. Your use of third-party resources is at your own risk. Any transactions or dealings with third parties are solely between you and that third party.
8. No Professional Advice
All information provided on the Site is for general informational purposes only and does not constitute legal, financial, real estate, or other professional advice. You should not rely on Site content as a substitute for professional consultation. ActiveRain expressly disclaims any liability for actions taken based on information provided on the Site.
9. No Endorsement
ActiveRain does not recommend, endorse, or make any representations about the quality, suitability, or reliability of any third-party company, product, service, or individual listed or discussed on the Site.
10. Unsolicited Feedback
If you submit feedback, suggestions, or ideas to ActiveRain, you agree that we may use such submissions freely and without restriction or compensation. By submitting feedback, you grant ActiveRain an irrevocable, perpetual, worldwide, royalty-free license to use, adapt, and commercialize your feedback without any obligation to you.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACTIVERAIN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE SIX MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless ActiveRain and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Site; (b) your breach of this Agreement; (c) your submitted content; or (d) your violation of any applicable law or third-party rights.
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute arising out of or relating to this Agreement or the Site shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Before initiating arbitration, you must provide ActiveRain with at least 30 days’ written notice describing your claim and the relief sought, sent to: support@activerain.com
15. Governing Law and Venue
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction in those courts.
16. Subscription Billing
If you subscribe to any paid service on the Site, you authorize ActiveRain to charge your payment method on a recurring basis according to the plan you select. We reserve the right to change pricing or subscription plans upon reasonable notice to you. You may cancel your subscription at any time through your account settings.
17. Security
We maintain commercially reasonable technical and organizational measures to protect the Site and user information. However, no internet-based system is completely secure, and we cannot guarantee absolute security. We are not responsible for unauthorized access to your information resulting from your own actions or from the acts of third parties outside our reasonable control.
18. International Use
The Site is operated in the United States. If you access the Site from outside the U.S., you do so at your own initiative and are responsible for compliance with your local laws and regulations.
19. Changes to This Agreement
We may modify this Agreement at any time by posting the updated version on the Site. Your continued use of the Site following such changes constitutes your acceptance of the revised Agreement. We encourage you to review this Agreement periodically.
